Terms and Conditions for "Is It Healthy" App

These Terms and Conditions ("Terms") govern your use of the "Is It Healthy" mobile application (the "App"), operated by Dark Matter Lab, LLC ("we," "us," or "our"), with registered address at Chapman Rd Ste 101B, Newark, DE 19702-5489, United States.

By downloading, accessing, or using the App, you agree to be bound by these Terms. If you do not agree, please do not use the App.

1. Acceptance of Terms

These Terms form a binding agreement between you and us. We may update these Terms from time to time. We will notify you of material changes via the App or our website. Your continued use of the App after changes constitutes acceptance of the updated Terms.

2. License to Use the App

We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for your personal, non-commercial use on devices you own or control, subject to these Terms and applicable app store rules.

You may not: copy, modify, distribute, sell, or lease any part of the App; reverse engineer or attempt to extract the source code; or use the App for any illegal purpose.

3. User Accounts

To access certain features, you must create an account using your email/password or third-party authentication (Apple ID or Google). You are responsible for maintaining the confidentiality of your account and for all activities under it.

You must be at least 13 years old (or 16 in certain jurisdictions) to use the App. By creating an account, you represent that you meet this age requirement.

4. App Features and User Content

The App allows you to upload photos of food products for AI analysis, log food diary entries, and interact with an AI chat.

You retain ownership of your uploaded content (photos, diary entries, chat inputs). By uploading, you grant us a worldwide, royalty-free license to use, store, process, and display it as needed to provide the App's services (e.g., AI analysis and synchronization).

You are responsible for your content and must not upload anything illegal, harmful, or infringing on third-party rights.

5. Subscriptions and Payments

The App is currently free, but future premium features may require a paid subscription processed through Apple App Store or Google Play billing.

Subscriptions auto-renew unless canceled. Payments, refunds, and cancellations are handled by the respective app store per their terms. We do not store or process payment details directly.

6. No Medical or Professional Advice

The App provides general informational insights about food products, nutrition, benefits, and concerns based on AI analysis. It is for educational and informational purposes only and is not medical, nutritional, or professional health advice.

Analysis results (e.g., healthy/moderate/unhealthy ratings) are estimates and may be inaccurate. Always consult a qualified healthcare professional, doctor, or registered dietitian for personalized advice, especially if you have health conditions, allergies, or dietary needs.

We are not liable for any decisions or actions based on App content.

7. Prohibited Conduct

You agree not to:

Use the App for illegal purposes or to violate laws.
Interfere with or disrupt the App or servers.
Upload harmful content (e.g., viruses) or infringe intellectual property.
Attempt to gain unauthorized access to accounts or data.

8. Intellectual Property

The App, its content, and features (excluding your user content) are owned by us or our licensors and protected by copyright, trademark, and other laws. You may not use them without our permission except as allowed by these Terms.

9. Third-Party Services

The App uses third-party AI providers (OpenAI, Grok/xAI, Azure AI) for analysis and cloud services for storage. Your use is subject to their terms where applicable.

Links to third-party sites are not endorsements; we are not responsible for them.

10. Termination

We may suspend or terminate your access to the App at any time for violations of these Terms or for any reason. Upon termination, your license ends, and you must stop using the App.

You can terminate by deleting your account and uninstalling the App.

11. Disclaimer of Warranties

The App is provided "as is" without warranties of any kind. We do not guarantee accuracy, completeness, availability, or error-free operation. Use at your own risk.

12. Limitation of Liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, or consequential damages arising from your use of the App. Our total liability shall not exceed amounts paid by you (if any) in the prior 12 months.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of laws principles.
